1. These terms and conditions apply to your use of our website www.needparking.co.uk (our Site) and the Need Parking app (our App), and any use you make of the services available through our Site or our App (our Online Service).

2. You must read and agree these terms and conditions before you use our Site, App or the Online Service.

3. These terms and conditions cover the relationship between people who (i) pay to park, (ii) people who list a parking space as available and (iii) our involvement by supplying the Online Service between the two.

4. We are Need Parking Limited, a limited company registered in England and Wales under company number 14357702, with its registered office at 17 Roberts Road, Southampton, England, SO15 5DF.

6. The Online Service consists of individuals or businesses advertising parking spaces (“Space Provider”) and individuals or businesses paying for parking spaces (“Space Payers”) and the parties agree to be bound by theses terms and conditions which detail the contract between the parties.

7. Space Providers shall list details and pictures of the relevant parking spaces they have available using reasonable endeavours to ensure the details and descriptions listed are accurate and true.

8.Space Payers may search the Site or the App to find appropriate parking spaces.

9. We will act as an intermediatory and collect the fee from the Space Payer, deduct our commission and pass the rest on to the Space Provider.

10. We will use reasonable endeavours to ensure to make the Site, App and Online Service available but do not warrant that access will be uninterrupted or error free. Furthermore, there may be downtime to allow for maintenance to the Site, App or Online Service.

11. We may suspend or withdraw or restrict the availability of all or any part of our Site, our App or the Online Service, if this happens we will try to give you reasonable notice of any suspension or withdrawal. Suspension or withdrawal of the Online Service will not affect any contract entered into by the Space Provider and Space Payer.

13. It is imperative that you keep your accounts details and your password private and do not disclose it to anyone else. If you become aware that your account details or password may have been used by a third party you must report this to use immediately and we will stop access to your account while the matter is investigated.

14. You agree that your use of the Site, App or Online Service shall not access, store, distribute or transmit any viruses, or any material or details during the course of your use that:-

• is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;
• facilitates illegal activity;
• depicts sexually explicit images;
• promotes unlawful violence;
• is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or
• is otherwise illegal or causes damage or injury to any person or property;

15. Furthermore during your use of the Site, App or Online Service you shall not:

• attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Site or App, in any form or media or by any means; or
• create any false accounts in connection with the Online Service; or
• attempt to de-compile, reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Site or App; or
• access all or any part of the Online Service in order to build a product or service which competes with the service.

16. We may suspend or close your account at any time if you are in breach of any of the terms of these terms and conditions.

17. If you want to cancel a booking you have made you can do so by logging in to your account or contact us on hello@needparking.co.uk setting out the cancellation request.

18. Any refund due to you following a cancellation request will be credited to the payment account used to make the booking.

19. Your use and ongoing use of the Online Service must always be booked via the Site or the App and not directly with the Space Provider.

20. We may change these terms and conditions from time to time and the version applicable to you will be the version available on our Site at the time of booking.

21. We do not exclude or limit in any way our liability for death, personal injury caused by our negligence, or our responsibility for fraudulent misrepresentation and any other liability that cannot be excluded by law.

22. We are not liable for loss of profits or any other losses associated with the Online Services and our Liability in this regard shall be capped at the total fees paid and payable during a 12 month period.

23. We may transfer our rights and obligations under these terms and conditions to another organisation. If this happens, we will notify you via your account with us.

24. Each of the paragraphs of these terms and conditions operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
